Monsanto Refuses Bayer¡¯s Bid Price Again

Recently£¬US seed company Monsanto refused Germany Bayer’s takeover bid that up to 65 billion dollars. But at the same time, it also said it would keep an open attitude to negotiate with Bayer and other bidders.

In fact, Monsanto’s refuse met market’s expectation. But it also put pressure on Bayer to price, it’s price should at least make sure itself can know Monsanto’s pecuniary condition.  According to foreign media, the two companies are negotiating confidential agreement.

Monsanto said on Tuesday that the board of directors all agreed Bayer’s newest bid can’t make sure the deal can be made on the financial. It added that it would continue to keep an open attitude to negotiate with Bayer and other bidders, to assess whether they can realize the deal that Monsanto’s board of directors believe can maximize their interests.

At the same time, Bayer felt disappointed at Monsanto’s refuse of the newest price, but they were hoping to make an appropriate confidential agreement to know more information. Based on that, it can continue negotiating with Monsanto. Since it put forward to acquire Monsanto in May this year, its access to confidential information has always been the key point in the negotiations.

On last Thursday, Bayer once revealed that it will raise 3 dollars per share, and the latest bid of 125 dollars per share will be the highest full cash bid. Bayer also added that if they were unable to make the agreement for anti-monopoly reasons, it will give Monsanto 1.5 billion dollars for break up, equivalent to 2.3% of this deal scale.

According to informed sources, Monsanto hopes Bayer can price further, including raising break-up fee, then it will allow Bayer to grasp it’s financial information.
